First Interstate BancSystem, Inc, (“the Issuer”) Class A Common Stock is listed on the NASDAQ stock market under the symbol “FIBK.” The Issuer’s Class B Common Stock is not listed on any exchange or market, but is convertible at any time into Class A Common Stock on a share for share basis at the discretion of the holder. The conversion feature of the Class B Common Stock does not expire.

Julie A. Scott Rose beneficially owns 998,672 shares of Common Stock (of which 995,776 shares are Class B Common Stock and 2,896 shares are Class A Common Stock), representing 5.7%, of the Class A Common Stock and 3.7% of the Class B Common Stock.

Ms. Rose has sole voting and dispositive power for 998,672 shares of Common Stock, which includes 908,424 shares of Class B Common Stock held as trustee of the Julie Scott Rose Revocable Trust, 58,832 shares of Class B Common Stock held by three separate trusts, of which Ms. Rose is the trustee of each trust, 29,292 shares of Common Stock underlying stock options that are currently exercisable or exercisable within 60 days of the date hereof (of which 27,320 are Class B and 1,972 are Class A), and 2,124 shares held individually (of which 1,200 are Class B and 924 are Class A).
